Kee Creation is engaged in promotional products, customized merchandise, medals, trophies, recognition products, and gifting solutions for businesses, institutions, resellers, and other customers. By accessing our website, submitting an enquiry, accepting a quotation, or placing an order with us, you agree to the Terms applicable to that activity. Where applicable law requires separate consent or specific contractual acceptance, that requirement will continue to apply.

These Terms apply to your use of our website and, where applicable, enquiries, quotations, orders, product customization, and related services provided by Kee Creation.

If specific terms have been expressly agreed upon in writing for an order, those terms will govern the relevant matter to the extent of any inconsistency with these general Terms, subject to applicable law. For business-to-business transactions, customers should review the relevant quotation and order confirmation before proceeding.

We make reasonable efforts to present our products accurately on our website, catalogues, quotations, and other marketing materials.

• Product images are illustrative and may differ from the delivered product in colour, finish, appearance, scale, or presentation.
• Specifications, dimensions, materials, packaging, and available finishes may vary by product or production batch.
• Certain products may be subject to stock availability, supplier availability, or manufacturing constraints.
• Product descriptions and images do not guarantee a particular result beyond the specifications expressly agreed for an order.

We will communicate material changes or unavailability where reasonably practicable before proceeding with the affected order.

4. Enquiries and Quotations

Enquiries submitted through our website, telephone, email, WhatsApp, or other communication channels do not automatically constitute a confirmed order.

Quotations are prepared based on the information available at the time, including product selection, quantity, customization requirements, packaging, delivery destination, and applicable taxes.

• Quotations are subject to confirmation of product availability and final specifications.
• Prices and quoted terms are valid for the period expressly stated in the quotation. If no validity period is specified, they remain subject to reconfirmation before order acceptance.
• Changes to quantities, artwork, product specifications, packaging, or delivery requirements may affect the quoted price and delivery timeline.
• Taxes, freight, customization, tooling, sample charges, and other costs will be handled as stated in the quotation or written order confirmation.

Customers should obtain written confirmation of final product specifications, price, taxes, payment terms, and delivery expectations before making payment.

5. Order Placement and Confirmation

An order will be treated as accepted when Kee Creation confirms acceptance in writing, such as through an order confirmation, accepted quotation, pro forma invoice, or other written communication.

Before confirming an order, we may require:

• Final product and quantity details.
• Written approval of designs, logos, artwork, or samples, where applicable.
• Confirmation of the delivery address and contact details.
• Payment of an advance or other amount specified in the quotation.
• Any additional information reasonably required to fulfil the order.

A purchase order issued by a customer does not override a quotation or other agreed terms unless Kee Creation expressly accepts the relevant changes in writing.

Customers are responsible for checking the order confirmation and promptly notifying us of any discrepancies.

6. Pricing, Taxes, and Payments

Product prices, applicable taxes, delivery charges, customization charges, and other costs will be specified in the relevant quotation, invoice, or order confirmation.

Payments may be made through bank transfer, UPI, or an online payment gateway where offered by Kee Creation.

The advance amount, payment schedule, and due dates are order-specific and will be stated in the relevant quotation or written order confirmation. No fixed advance percentage is implied by these general Terms.

• Production or procurement may begin after receipt of the agreed advance and completion of required approvals, as specified for the order.
• Where payment is outstanding, we may pause further work, dispatch, or delivery to the extent permitted by the agreed terms and applicable law.
• Customers are responsible for ensuring that payment details are accurate and payments are made through authorized channels.
• Applicable GST and other legally chargeable taxes will be handled in accordance with the invoice and applicable law.

Any refund, adjustment, or credit will be handled in accordance with the agreed order terms and applicable law.

7. Customization, Artwork, and Approvals

Many products may be customized using company logos, brand names, artwork, text, engraving, printing, or other specifications.

Customers must review and approve relevant artwork, mock-ups, proofs, or samples before production where such approval is requested or required.

• Once approval is provided, the approved design and specifications form the basis for production.
• Changes requested after approval may result in additional costs or revised delivery timelines.
• Kee Creation will not be responsible for errors in customer-approved artwork reproduced accurately according to that approval, except where otherwise required by law or attributable to our failure to follow the approved specifications.
• Material deviations from approved specifications should be raised promptly for review.

Customers are responsible for checking names, spellings, logos, artwork, quantities, and other information supplied for customization.

8. Intellectual Property and Customer Materials

Website content, including original text, graphics, photographs, branding, catalogues, and other materials owned by Kee Creation, is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or commercially exploit our protected materials without prior authorization, except where permitted by law.

Customers providing logos, trademarks, artwork, designs, or other materials confirm that they have the necessary rights or authorization to provide those materials and request the intended use.

Customers retain their rights in their own intellectual property. They grant Kee Creation permission to use supplied materials only as reasonably necessary to quote, design, manufacture, customize, and fulfil the relevant order, including sharing them with production partners where required.

Neither party acquires ownership of the other party's intellectual property merely because an order is placed.

9. Samples and Product Variations

Samples may be provided where available and subject to applicable charges and terms.

A sample helps assess product appearance, finish, materials, or suitability. Minor variations may occur in mass production, particularly for manufactured, printed, engraved, or customized items.

Where an exact specification or tolerance is commercially important, it should be recorded in the quotation or written order confirmation.

Any material mismatch between delivered goods and expressly agreed specifications will be assessed under the order terms and applicable law.

10. Production and Delivery

Delivery timelines will be communicated in the relevant quotation or order confirmation. Unless a specific delivery commitment is expressly confirmed in writing, stated timelines are estimates and not guaranteed delivery dates.

Timelines may depend on receipt of the agreed advance, timely artwork and sample approvals, availability of materials and production capacity, supplier and finishing schedules, courier and transport arrangements, and circumstances beyond our reasonable control.

If we become aware of a material delay, we will make reasonable efforts to inform the customer and discuss the next steps.

Customers are responsible for providing accurate delivery details and ensuring that shipments can be received at the designated address.

Any specific delivery commitment, deadline, or agreed remedy for delay should be recorded in writing.

11. Inspection, Shortages, and Defective Products

Customers should inspect delivered products within a reasonable period after receipt.

If products are damaged, defective, short in quantity, or materially inconsistent with agreed specifications, the customer should notify Kee Creation promptly and provide supporting information such as photographs, order details, and a description of the issue.

We will review the complaint and may request additional information or inspection of the affected products.

Depending on the circumstances, agreed order terms, and applicable law, an appropriate remedy may include replacement, correction, rework, credit, refund, or another mutually agreed resolution.

Minor variations consistent with agreed specifications or expressly disclosed product characteristics may not constitute a defect.

Nothing in this section excludes any remedy that cannot lawfully be excluded.

12. Cancellations, Changes, and Returns

Because many products are procured, manufactured, or customized specifically for an order, cancellations and returns are subject to the terms in this section and applicable law.

Cancellation after production begins: Once production has started for a confirmed order, the order is non-cancellable under Kee Creation's standard policy, except where Kee Creation agrees otherwise in writing or cancellation or another remedy is required under applicable law.

Customers should submit change or cancellation requests in writing. A request does not take effect unless accepted in writing by Kee Creation or required by applicable law.

Before production begins, any cancellation or change remains subject to the accepted quotation, order terms, work already performed, and applicable law.

Where procurement, tooling, customization, or production has begun, costs already incurred may be considered when resolving a permitted cancellation or change, subject to agreed terms and applicable law.

Customized products may not be eligible for return merely because a customer changes their mind, subject to applicable legal rights.

Products alleged to be defective or materially inconsistent with agreed specifications will be reviewed under Section 11. The non-cancellation policy does not remove any mandatory legal rights or remedies.

Customers should obtain written confirmation of any approved cancellation, change, return, replacement, or refund arrangement.

13. Customer Responsibilities

When using our website or placing an order, you agree to:

• Provide accurate contact, billing, delivery, and order information.
• Ensure you are authorized to act for the organization you represent, where applicable.
• Provide lawful artwork, logos, and materials for customization.
• Review quotations, order confirmations, and artwork proofs carefully.
• Make payments in accordance with agreed terms.
• Use our website lawfully and refrain from activities that compromise its security or operation.

We may decline or suspend an order where there are reasonable grounds to suspect fraud, unlawful activity, unauthorized use of intellectual property, or a material breach of agreed terms, subject to applicable law.

14. Website Use and Availability

We aim to keep our website accessible and its information reasonably accurate. However, we do not guarantee uninterrupted availability, error-free operation, or the absence of technical issues.

We may update website content, product listings, functionality, or services from time to time.

You must not attempt to gain unauthorized access to our website, interfere with its operation, introduce malicious code, or use it in a manner that violates applicable law.

To the extent permitted by applicable law, Kee Creation will not be liable for indirect, incidental, special, or consequential losses arising from website use or an order, such as loss of anticipated profits, business opportunities, or goodwill, where such losses are not otherwise recoverable under applicable law.

Our responsibility for an order will be assessed in light of the agreed specifications, the nature of the issue, the applicable order terms, and the law governing the transaction.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded or limited.

Any order-specific limitation of liability must be expressly agreed in writing and must comply with applicable law.

17. Force Majeure

Neither party will be considered in breach solely because performance is delayed or prevented by circumstances beyond its reasonable control, to the extent recognized by applicable law.

Such circumstances may include natural disasters, fire, war, government restrictions, public emergencies, major transport disruptions, or widespread interruptions to utilities or essential services.

The affected party should notify the other party as reasonably practicable and take reasonable steps to reduce the impact.

This clause does not automatically cancel an order or remove payment obligations for goods or services already provided. The parties should discuss a reasonable solution in light of the circumstances and applicable law.

The Privacy Policy explains how we handle information submitted through enquiries, website interactions, order processing, and related communications.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

If a dispute arises, the parties should first attempt to resolve it through good-faith discussions.

If the dispute cannot be resolved amicably, it may be referred to the courts or other competent forum having jurisdiction under applicable law.

Nothing in these Terms removes mandatory rights, remedies, or jurisdictional protections available under applicable law. Any specific exclusive jurisdiction arrangement should be reviewed and expressly agreed where appropriate.
